Terms And Conditions

Binding Effect

The following terms and conditions (“Terms of Sale”) govern the sale of any new, used and refurbished hardware and equipment (“Equipment”) sold by Integrity Global Solutions LLC (“IGS, “we,”  “us,” or “our”) to direct end users who purchase Equipment through our website for their internal use (“you” or “your”) and not for sale. These Terms of Sale are in lieu of and replace any and all terms and conditions set forth in any documents included by us when you receive purchased Equipment or which are issued or communicated by you to us, all of which are inapplicable. In the event of any conflict between these Terms of Sale and any term on any document accompanying purchased Equipment or documents or specifications provided by you, these Terms of Sale shall control. No waiver or amendment to these Terms of Sale are binding on us unless made in a writing signed by us.

Your submission of an order for Equipment through our website constitutes your acceptance to these Terms of Sale which constitutes the entire agreement between you and us regarding the sale and expressly supersedes and replaces any prior or contemporaneous agreements, whether written or oral, relating to the sale.

Website Terms and Privacy Policy

By using our site and/or submitting an order for Equipment, you also agree to our general terms of use regarding our site and our privacy policy available for review on our homepage at the link captioned “Website Terms and Privacy Policy.” These set forth our general terms regarding the use of our Site and explain our privacy policy which is designed to help you understand how we collect and use the personal information you share with us, and help you make informed decisions when using our site and when submitting an order for Equipment.

Acceptance

All Equipment orders placed by you are subject to acceptance by us. An order confirmation to you does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. At any time after receipt of your order, we may accept, decline, or place limits on your order for any reason. If we reject, limit, or otherwise modify your order, we will attempt to notify you using the e-mail address you provide to us. If we cancel an order or part of an order that we've already charged you for, we'll refund you the full amount of the canceled portion of the order.

Paying for Your Order

Generally, we'll charge your card for an item when we ship the item to you or confirm its availability. However, we may preauthorize your order amount with your credit or debit card issuer at the time you place the order, which may have an effect on your available credit line. When using a debit card as payment, the card is charged immediately following the authorization. The issuing bank determines when to release the hold on the dollar amount when merchandise is not shipped (backorder) or the order is cancelled. [For special delivery items, we'll charge your card when you confirm a delivery time.]

Taxes

Stated prices for Equipment do not include any duties, sales, use, value added, excise, federal, state, local or other taxes. All such duties or taxes shall be added to the price at the time you place your order and are paid by you at the time of order placement (unless you have provided us with an appropriate tax exemption certificate).

Title

Title to Equipment passes from us to you upon shipment from our facility. At all times, title to any software embedded in the Equipment remains with the applicable software manufacturer.

Return Policy

Non-warranty return requests must be initiated with us within [30] days of the original purchase date, and return requests of non-defective product are subject to a 20% restocking fee as described below under “Restock Fees.”

​

All warranty claims must be initiated with us within the Warranty Period described below under “Limited Warranty.”

​

Further, all returns and warranty claims for Equipment purchased from us may only be returned in accordance with our Return Policy and by following our Return Procedure described below. All returns and warranty claims require a return material authorization (RMA). RMA’s are valid for only 14 days after they are issued, so please read our section on Return Procedure carefully.

You assume all risk of loss or damage to Equipment while in transit to us and we recommend that you purchase sufficient insurance from your return shipper to cover the  enitre loss of Equipment being shipped back to us.

​

If you fail to return Equipment in accordance with our Return Policy and Return Procedure, in any manner, including, but not limited to: (a) returning Equipment outside of our 30 day return period; (b) returning Equipment without a RMA; or (c) returning Equipment beyond the RMA period, we reserve the right to refuse to accept delivery of such return and to charge you the retail price of such Equipment at the time the Equipment was shipped to you.

Return Procedure

Any return request or warranty claim shall be subject to the following Return Procedure:

  1. Submit to us as much possible information regarding the problem with your order either online here or by phone. If you have a question about whether your Equipment is covered by our warranty, please read our Warranty Terms below. If you received a package that was damaged during shipment, please retain all packing materials.

  2. After submitting your return request or warranty claim, our representative should contact you within 24 hours through the email address you submitted to us and provide you with a RMA.

  3. You have 14 days after the RMA is issued to return Equipment for a return request or warranty claim (the “RMA Period”). All Equipment for returns and warranty claims shall be shipped back by you to us to our facility in the original packaging or equivalent, together with a dated proof of purchase (including invoice and packing slip) and the RMA number you received from us. All shipping charges and costs incurred in returning Equipment to us including insurance, duties or other fees must be prepaid by you. IGS is not responsible for return shipping costs and does not refund shipping charges under any circumstance.  Our policy for advance replacements can also be found below.

  4. For return requests, if you timely and correctly returned Equipment, you can expect to receive your refund (less any restock fee that applies as described below under “Restock Fees” within 4 weeks of giving your package to the return shipper (in many cases it will be much quicker).  This period includes transit time for us to receive your return (5-10 business days), the time it takes us to process the return once we receive it (3-5 business days), and the time it takes your bank to process our refund request (5-10 business days).

  5. For warranty claims, the terms of our Limited Warranty below applies.

Restock Fees

Equipment returned to us timely within the 14 day RMA Period and tested “dead” by us will gladly be accepted and either replaced or compensated by refunding you the payment in full.  However, any Equipment returned to us within timely the 14 day RMA Period which passes testing or is not tested "dead" by us will result in a 20% restocking fee.  For example, if your purchase was $100, we will return to you $80.  We do not accept returns outside of our 30 day Return Period or outside of the 14 day RMA Period.

Limited Warranty

Warranty Period

For Equipment sold to you, we warrant such Equipment will be free from defects in material and workmanship for a period of one (1) year from and after the date of purchase when utilized for its normal and intended use in accordance with manufacturer guidelines. [For Equipment sold by IGS to any reseller or service company, IGS warrants the Equipment will be free from defects in material and workmanship for a period of ninety (90) days from and after the date of purchase when utilized for its normal and intended use in accordance with manufacturer guidelines.] The warranties offered herein are non-transferrable and apply only to you - the original purchaser [or original reseller or service company], as applicable and as determined by IGS in its sole discretion, and may not be sold, assigned or transferred to any third-party. We do not accept warranty claims outside of the warranty period.

 

Warranty Coverage

In the event of a defect in covered Equipment during the applicable warranty period, we will furnish the necessary parts to repair the Equipment (using new or refurbished parts, at our sole discretion) free of charge. In the event we are unable to repair the Equipment, or if we determine that repairs would result in unreasonable time or expense, we will provide a replacement of similar value and specifications (as determined in our sole discretion). To obtain a repair or replacement, you must promptly notify us of any defect in the Equipment during the applicable warranty period, including a detailed explanation of the defect and any other relevant information, such as the need for advanced replacement, if applicable, and return the defective Equipment to us, shipping and insurance prepaid by the you, within Fourteen (14) days after receipt of a RMA. Please follow our Return Procedure set forth above. Upon receipt of the defective Equipment, we will endeavor to diagnose the cause of the defect and repair or, if necessary, replace the Equipment within a reasonable period of time.  We will return the repaired or replacement Equipment to you using an IGS preferred carrier, shipping and insurance prepaid by us, but subject to any applicable duties, taxes and fees. Repaired or replaced Equipment shall be covered only for the remaining period of the original warranty period, if any.

Advanced Replacement

We encourage you to procure and maintain an adequate number of spares for your Equipment. However, we recognize that in certain instances, you may desire to obtain an advanced replacement prior to returning covered Equipment for warranty service. If you desire to obtain an advanced replacement, you must submit a request for advanced replacement in accordance with the Return Procedure described above. We will review requests for advanced replacement on a case-by-case basis, subject to our sole discretion. If we determine that an advanced replacement is appropriate, we will ship the replacement to you using an IGS preferred carrier, shipping and insurance prepaid by us, but subject to any applicable duties, taxes and fees. You must return the defective Equipment to IGS within Fourteen (14) days following receipt of the advanced replacement for repair or replacement in accordance with the Return Procedure described above. If you fail to return the defective Equipment within the Fourteen (14) day period, [we will charge your credit or debit card or issue you an invoice] for the advanced replacement at the current list price, together with applicable shipping and insurance charges incurred by IGS. Likewise, if you fail to return the advanced replacement within Fourteen (14) days following completion of warranty service and return of the covered Equipment to you, [we will charge your credit or debit card or issue you an invoice] for the advanced replacement at the current list price, together with applicable shipping and insurance charges incurred by IGS.

Exclusions

The limited warranty set forth above does not apply to, and IGS has no obligation to repair or replace, defects in Equipment which result, in whole or in part, from: (a) misuse, neglect or accidental damage; (b) software, viruses, trojans, malware, and similar items; (c) alterations, adjustments or repairs not made or authorized by IGS (including modifications or replacements of any software components supplied with or embedded in the Equipment); (d) use outside of the normal and intended use; (e) unusual physical or electrical stress; (f) failure to provide and maintain a suitable installation environment; or (g) acts of God.

Disclaimer of Warranties and Limitation of Liability

THE WARRANTIES SET FORTH IN THESE TERMS OF SALE SHALL BE THE SOLE AND EXCLUSIVE REMEDY FOR DEFECTS IN MATERIAL AND WORKMANSHIP IN EQUIPMENT SOLD BY IGS.  EXCEPT AS EXPRESSLY SET FORTH HEREIN, IGS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT OR FITNESS FOR A PARTICULAR PURPOSE AND SUCH WARRANTIES ARE SPECIFICALLY EXCLUDED AND DISCLAIMED BY IGS.  IN NO EVENT SHALL IGS BE LIABLE FOR ANY SPECIAL, CONSEQUENTIAL, INDIRECT OR INCIDENTAL DAMAGES, INCLUDING LOST PROFITS, PROPERTY DAMAGE, DAMAGE TO OR LOSS OF EQUIPMENT, LOSS OF DATA, OR PERSONAL INJURY, IN CONNECTION WITH THE SALE OR USE OF ANY EQUIPMENT, WHETHER DUE TO A BREACH OF CONTRACT, BREACH OF WARRANTY, THE NEGLIGENCE OF IGS, OR OTHERWISE. IN NO EVENT WILL THE TOTAL LIABILITY OF IGS EXCEED THE ORIGINAL PURCHASE PRICE FOR THE EQUIPMENT. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS MAY OR MAY NOT APPLY TO YOU.

TO THE EXTENT THAT YOU COMMUNICATE WITH ANY OF OUR REPRESENTATIVES, THE STATEMENTS, PROMISES OR ACTIONS TAKEN BY SUCH REPRESENTATIVE SHALL NOT LIMIT OR OTHERWISE MODIFY THE TERMS OF OUR DISCLAIMERS IN THESE TERMS OF SALE AND THIS DISCLAIMER AND THESE TERMS OF SALE SHALL APPLY TO ANY INFORMATION PROVIDED TO YOU THROUGH SUCH REPRESENTATIVE OR OUR WEBSITE.

Any software included with Equipment is protected by copyright law and/or international treaty provisions. IGS makes no warranty with respect to software or licensing issues and expressly disclaims all warranties, express or implied, with respect to the same. 

​

United States Government license rights in the Equipment are limited to those mandatory rights identified in DFARS 252.227-7015 (b).

Other

These Terms of Sale are governed by and construed in accordance with the laws of the State of Minnesota as to all matters of construction, validity, performance and enforcement but without regard to its conflict or choice of law provisions. You agree that Minnesota is an appropriate place for venue and all disputes (whether via courts or arbitration) shall be venued and heard in Minnesota. If IGS prevails in any action, suit or other judicial proceeding, IGS shall be entitled to recover from you its costs and reasonable attorneys’ fees incurred. You may not assign your rights or obligations hereunder without our prior written consent. If any provision of these Terms of Sale are held to be invalid or unenforceable, the remaining Terms of Sale shall remain in full force and effect.

You or any of your customers or consignees WILL NOT use products purchased from IGS in the design, development, or production of missile/rocket systems or unmanned air vehicles or in connection with nuclear or chemical/biological proliferation activities. You or any of customers or consignees WILL NOT export or re-export IGS goods or technical data to (i) any U.S. sanctioned or embargoed country, or to nationals or residents of such countries; or (ii) to any person, entity, organization or other party identified on the U.S. Department of Commerce’s Denied Persons or Entity List, the U.S. Department of treasury’s Specially Designated Nationals or Blocked Persons List, or the Department of States Debarred Parties List.

IGS retains the right to cancel/refuse any order for any reason.
